Managed Service Agreement

InsightDash Managed Service ("Service") is a done-for-you analytics engagement in which InsightDash ("we", "us") processes your business data on your behalf and delivers dashboards, reports, and insights through the InsightDash platform.

Specific deliverables (report frequency, included data sources, number of locations, turnaround times) are confirmed in writing — by email or via the Stripe subscription link sent to you — before billing begins.

• Custom Quote: Managed Service pricing is not fixed. Your monthly fee is quoted individually based on your number of locations, data volume, report cadence, and scope of work.
• Stripe Subscription: Once a quote is agreed, you receive a Stripe subscription link. Subscribing to that link confirms your acceptance of the quoted price and this Agreement.
• Recurring Billing: Fees are billed monthly in advance via Stripe and renew automatically until canceled.
• Price Changes: If your scope changes (additional locations, new data sources, expanded reporting), we will notify you in writing and issue an updated subscription before the change takes effect.
• Taxes: Prices exclude any applicable sales tax, VAT, or withholding tax, which are your responsibility.

To deliver the Service effectively, you agree to:

• Provide accurate, complete, and timely data (sales exports, invoices, inventory, etc.) in the formats we request
• Designate a point of contact authorized to approve scope, categories, and reports
• Ensure you have the legal right to share any data you upload or send to us
• Pay invoices on time and keep your Stripe payment method valid

Delays caused by missing or incorrect data are not refundable, but unused service days can be rolled into the following billing cycle at our discretion.

• Your Data: You retain full ownership of all business data you provide. We process it solely to deliver the Service.
• Confidentiality: We treat your data as confidential and do not share it with third parties except subprocessors strictly required to operate the platform (hosting, email, payment processing).
• Isolation: Managed client data is logically isolated within InsightDash and only accessible to authorized InsightDash staff and you.
• Security: We follow the practices described in our Security policy and Privacy Policy.
• Data Return / Deletion: Upon written request after termination, we will export your data to you and/or delete it within 30 days, subject to legal retention requirements.

• You may cancel your subscription at any time from your Stripe billing portal or by emailing support.
• Cancellation stops future renewals; the current billing period continues until its end date.
• Fees already paid are non-refundable except where required by applicable law or as explicitly stated in our Refund Policy.
• We may suspend or terminate the Service immediately for non-payment, breach of these terms, or misuse of the platform.

The Service is provided "as is". While we use commercially reasonable efforts to deliver accurate reports, InsightDash makes no warranty that the Service will be error-free, uninterrupted, or fit for a particular business decision.

To the maximum extent permitted by law, InsightDash's total aggregate liability under this Agreement is limited to the amount you paid for the Service in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or lost-profit damages.

This Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute shall be resolved in the state or federal courts located in Delaware. This Agreement is supplemental to and incorporates our Terms of Service, Privacy Policy, and Refund Policy; in case of conflict regarding Managed Service engagements, this Agreement controls.
